By installing, downloading, or using the VSRelay extension ("Software"), You
("Licensee") agree to be bound by this End User License Agreement ("Agreement").
If You do not agree, You must not install, download, or use the Software.

The canonical version of this Agreement is bundled with the Software at the
file path packages/extension/LICENSE.txt within the .vsix package. A courtesy
mirror is published at https://vsrelay.dev/eula; the bundled file controls.

1. DEFINITIONS

"Software" means the VSRelay extension package (vsrelay.ide) and any updates
Licensor publishes to the VS Code Marketplace and Open VSX Registry.

"Licensee" means the natural person or legal entity that installs or uses the
Software.

"Authorized Editor" means Microsoft Visual Studio Code, Cursor, VSCodium, and
other editor distributions that follow the VS Code extension host contract.

"Licensor" means Goliath IT Solution, the Norwegian entity at the postal
address listed above and in Section 15.

2. INSTALLATION AND USE RIGHTS

(a) Installation Scope — Licensor grants Licensee a non-exclusive, non-
transferable license to install the Software on Licensee's own devices for use
solely within an Authorized Editor.

(b) Seat Count — One license per natural-person Licensee, on any number of
devices that natural person personally uses. Legal-entity Licensees require
per-seat licensing as specified at the time of purchase.

(c) Trademark — "VSRelay" is a common-law trademark of Licensor (denoted
"VSRelay™"); enforcement is limited to common-law rights in Norway, EEA member
states, and other jurisdictions where the mark has been used in commerce.
Registered trademark filings have not been completed; trademark registration
is reserved for a future phase.

3. SCOPE OF LICENSE

The Software is licensed, not sold. Licensee may not:

(a) Modify, adapt, translate, or create derivative works of the Software.

(b) Reverse engineer, decompile, or disassemble the Software, EXCEPT AS
PERMITTED BY APPLICABLE LAW, INCLUDING BUT NOT LIMITED TO Council Directive
2009/24/EC of the European Parliament and of the Council on the legal
protection of computer programs ("EU Software Directive"), Article 6
(decompilation for interoperability), and similar non-waivable user rights in
the user's jurisdiction.

(c) Redistribute, sell, sublicense, lease, lend, or rent the Software.

(d) Submit Contributions. Licensor does not accept code contributions or
feedback that would create IP encumbrance. Any unsolicited submission (code,
design, suggestion, or other material) is rejected with no review and no
rights are transferred from the submitter to Licensor or vice versa. Licensee
remains the sole rights-holder of any such unsolicited material; Licensor
accepts no responsibility for it.

(e) Use the Software for purposes that violate applicable law.

MIXED-LICENSE CLARIFICATION

The following Licensor-published packages are licensed under the MIT license
(SPDX: MIT) and are NOT covered by this Agreement; their MIT license governs
them:

- @vsrelay/doctor (npm: https://www.npmjs.com/package/@vsrelay/doctor)
- @vsrelay/patch-applier (npm: https://www.npmjs.com/package/@vsrelay/patch-applier)

This Agreement covers the vsrelay.ide extension and its bundled internal
packages (@vsrelay/protocol, @vsrelay/actor-core, @vsrelay/patch-author) only.

4. SUBSCRIPTION / TRIAL — RESERVED FOR FUTURE USE

This version of the Software (v0.3.0) is provided as a closed-source commercial
preview during which no fee is required. Licensor reserves the right to
introduce paid licensing in a subsequent version (v0.3.1 or later); upon such
introduction, this Section will be replaced with full Trial Grant, License
Activation, License Verification, and Expiration sub-clauses. Continued use of
the Software after the introduction of paid licensing requires acceptance of
the updated Agreement.

5. DATA COLLECTION AND PRIVACY

The Software records local diagnostic information at the path
~/.vsrelay/diagnostic.log on Licensee's device. This file is local-only:
Licensor does not transmit, upload, persist, or otherwise process its contents
unless Licensee manually emails the file (or extracts of it) to Licensor's
support address via the vsrelay.copyDiagnosticInfo command (which copies a
sanitized excerpt to the clipboard for Licensee to paste at their discretion).

Auth tokens are redacted at log-write time via the redactMessage() function
and never appear in the diagnostic file.

Telemetry-style identifiers that MAY appear in the diagnostic file:

- editorInstanceId (opaque SHA-256 hash of the canonical install realpath;
  does not reveal the underlying path)
- Supabase user UUID (if Licensee has paired a device via Licensor's pairing
  flow)
- traceIds (per-action correlation tokens; opaque)
- Cursor / Visual Studio Code version
- Claude Code (Anthropic claude.code) version
- OS family (process.platform value, e.g. "darwin", "linux", "win32")

What Licensor explicitly does NOT collect or transmit:

- No workspace paths
- No usernames or home-directory paths
- No raw prompts or model output
- No auth tokens (relay, Supabase, Claude Code, or any other)
- No source code from any workspace

The trusted relay at relay.vsrelay.dev is a transparent forwarder that admits
only rooms validated against Licensor's Supabase database; it does NOT parse,
log, or persist the bodies of forwarded messages.

The privacy policy at https://vsrelay.dev/privacy is the canonical public
description of this posture. The bundled text in this Section controls in the
event of any conflict.

6. THIRD-PARTY NOTICES

The Software bundles the following third-party packages, used in compliance
with their respective licenses:

- ws (WebSocket library) — MIT License — https://github.com/websockets/ws
- chokidar (file watcher) — MIT License — https://github.com/paulmillr/chokidar
- node-pty (pseudo-terminal binding) — MIT License — https://github.com/microsoft/node-pty
- esbuild (build-time bundler; not bundled at runtime) — MIT License — https://github.com/evanw/esbuild

A consolidated third-party notices file is shipped alongside this Agreement at
packages/extension/THIRD-PARTY-NOTICES.txt (if present in the .vsix package).

The licenses listed here grant Licensor the right to redistribute these
packages; the license terms apply to those packages and not to the Software
itself.

7. EXPORT RESTRICTIONS

Licensee must comply with all applicable export and re-export laws and
regulations, including the U.S. Office of Foreign Assets Control (OFAC),
European Union sanctions regulations, and the U.S. Export Administration
Regulations (EAR), and may not export, re-export, or transfer the Software to
any prohibited country, entity, or person.

8. SUPPORT SERVICES

Support is provided "as-is" via Licensor's published support channels at
https://vsrelay.dev/support. Licensor is under no obligation to provide
support, error correction, or updates for the Software, except where required
by applicable law.

9. GOVERNING LAW AND VENUE

This Agreement is governed by Norwegian law, without regard to its
conflicts-of-law provisions. The default venue for disputes is the Norwegian
courts.

EU / EEA CONSUMER CARVE-OUT: Where Licensee is a consumer domiciled in a
member state of the European Union or the European Economic Area, Licensee
retains the right to bring proceedings in the courts of their place of
domicile pursuant to Article 18 of the Brussels I Regulation (Council
Regulation (EU) No 1215/2012, "Brussels I"), as implemented in the EEA via
the 2007 Lugano Convention (Norway is a contracting party). Mandatory
consumer-protection rights under the EU Unfair Contract Terms Directive
93/13/EEC and the Norwegian Consumer Purchase Act (Forbrukerkjøpsloven)
cannot be waived by this clause.

B2B CARVE-OUT: For sales to legal entities (B2B), the Norwegian-court venue
applies without modification; the consumer carve-outs above apply only to
natural-person consumers in the EEA.

PRE-CONTRACTUAL DISCLOSURE: In accordance with the EU Unfair Commercial
Practices Directive 2005/29/EC and the Norwegian Marketing Control Act, the
storefront (VS Code Marketplace listing, Open VSX listing, and the bundled
README.md) discloses the closed-source commercial nature of the Software, the
license model, and pricing (where applicable).

10. DISCLAIMER OF WARRANTY

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR
IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY,
FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT. LICENSOR DOES NOT
WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT
DEFECTS WILL BE CORRECTED, OR THAT THE SOFTWARE OR LICENSOR'S SUPPORT
CHANNELS ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. THIS DISCLAIMER OF
WARRANTIES CONSTITUTES AN ESSENTIAL TERM OF THIS AGREEMENT.

The disclaimer above does not exclude or limit any non-waivable consumer-
protection rights that apply by mandatory law in the user's jurisdiction.

11. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, in no event shall
Licensor's total cumulative liability arising out of or related to this
Agreement and the Software exceed the greater of (i) the fees paid in the last 12 months by Licensee to Licensor preceding the event giving
rise to the claim, or (ii) the floor amount of fifty United States dollars
(USD $50).
Licensor shall not be liable for any indirect, incidental, special,
consequential, exemplary, or punitive damages, even if advised of the
possibility of such damages.

This Section does not exclude or limit any liability that cannot be excluded
or limited by mandatory consumer-protection law, including but not limited to
the EU Unfair Contract Terms Directive 93/13/EEC, the UK Consumer Rights
Act 2015 § 62, Quebec Law 25, and similar non-waivable consumer-protection
statutes.

12. INDEMNIFICATION

Licensee shall indemnify, defend, and hold Licensor harmless from any third-
party claim arising out of (i) Licensee's misuse of the Software in violation
of this Agreement, (ii) Licensee's breach of applicable law, or (iii) any
material provided by Licensee for processing by the Software where that
material itself infringes third-party rights.

Licensor shall defend Licensee against any third-party claim alleging that
the Software, as provided by Licensor and used by Licensee in accordance
with this Agreement, infringes a third party's copyright or trademark, and
shall pay damages finally awarded against Licensee by a court of competent
jurisdiction. As a condition of this defense, Licensee must (a) promptly
notify Licensor of the claim in writing, (b) give Licensor sole control of
the defense and settlement, and (c) provide reasonable cooperation.
Licensor's total indemnification obligation under this Section is subject to
the limitation of liability set forth in Section 11.

13. TERMINATION

This Agreement is effective until terminated. Licensor may terminate this
Agreement immediately upon notice if Licensee breaches any material term.
Upon termination, Licensee must cease all use of the Software and destroy all
copies in Licensee's possession.

Sections 5 (Data Collection), 10 (Warranty), 11 (Liability), 12
(Indemnification), 14 (Severability + Assignment), and 15 (Legal Notices)
survive termination.

14. SEVERABILITY, ASSIGNMENT, AND ENTIRE AGREEMENT

SEVERABILITY: If any provision of this Agreement is held to be invalid,
illegal, or unenforceable by a court of competent jurisdiction, the remaining
provisions shall continue in full force and effect, and the parties shall
replace the affected provision with one that achieves the original intent to
the greatest extent permitted by law.

ASSIGNMENT: Licensee may not assign or transfer this Agreement, or any
rights or obligations under it, without Licensor's prior written consent.
Licensor may assign this Agreement to a successor in interest in connection
with a merger, acquisition, or sale of substantially all of Licensor's
assets, on written notice to Licensee.

ENTIRE AGREEMENT: This Agreement, together with any updated EULA published
under Section 4 above, constitutes the entire agreement between Licensee and
Licensor regarding the Software and supersedes all prior or contemporaneous
communications and proposals.

Service of process and other legal notices to Licensor:
